Filing at Companies House without paying a penalty

Almost everything here can be filed online, and almost everything should be. Online filings are usually processed within a day and give you an immediate acknowledgement; paper takes considerably longer and is where nearly all avoidable delay comes from.

The risk with paper is not the speed but the rejection. A form returned for a small error — a missing signature, an inconsistent date, a name that does not match the register — comes back after the deadline has passed, and the clock does not stop while it travels. Late filing of accounts carries an automatic penalty that doubles if you are late two years running, and it is charged whether or not the company traded.

Two dates are commonly confused. The confirmation statement is a yearly check that the register is correct — it is not accounts, and filing one does not satisfy the other. Accounts have their own deadline, which is different again from the corporation tax payment date. Missing the accounts deadline is a penalty; persistent failure can lead to the company being struck off, which is considerably worse.

Should I file on paper or online?

Online, wherever the option exists. It is typically processed within a day and acknowledged immediately, while paper is slower and carries the real risk: a rejection for a minor error arrives back after the deadline, and the deadline does not move.

What happens if I file accounts late?

An automatic penalty, charged whether or not the company traded, and it doubles if you are late in two consecutive years. Continued failure can lead to the company being struck off — which is a far bigger problem than the fine.

Is a confirmation statement the same as accounts?

No, and filing one does not satisfy the other. The confirmation statement confirms the register is correct; the accounts report the finances. They have separate deadlines, and the corporation tax payment date is different again.
